1. Agreement to Terms
By accessing or using the Orixo Scale SaaS platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you (the "Restaurant Partner") and Orixo Scale.
2. SaaS License & Restrictions
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our digital menu, QR management, and operational analytics tools.
Prohibited Activities:
- Reverse engineering or attempting to extract the source code of our platform.
- Using the Services for any illegal or unauthorized purpose.
- Circumventing any service limits (item caps, table caps) set by your chosen plan.
- Interfering with the security or integrity of our real-time WebSocket systems.
3. Subscriptions & Payments
Orixo Scale operates on a subscription-based model (Free, Basic, Premium). By selecting a paid tier, you authorize us to charge the applicable fees via our secure payment gateway (Razorpay).
- Renewals: Subscriptions automatically renew at the end of each billing cycle (monthly, quarterly, or yearly) unless cancelled.
- Cancellations: You may cancel your subscription at any time; however, fees for the current period are non-refundable.
- Tier Limits: Exceeding plan limits (e.g., adding more items than allowed) may require an immediate upgrade to maintain service availability.
4. Customer Data & Intellectual Property
Your Content: You retain all rights to the menu data, images, and branding you upload. However, you grant Orixo Scale a license to host, store, and display this content to your diners via our platform.
Our IP: The platform architecture, design engine, AI scanning logic, and all Orixo Scale logos are our exclusive property. You may not use our branding for external purposes without written consent.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIXO SCALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
6. Service Availability (SLA)
While we strive for 99.9% uptime, Orixo Scale does not guarantee uninterrupted service. We perform regular maintenance and may experience outages beyond our control. We are not responsible for any lost revenue resulting from such service interruptions.
7. Termination
We reserve the right to suspend or terminate your account at our sole discretion for violations of these Terms, non-payment, or any activity that compromises the platform's security.
